About Basma

Basma is a Senior Associate at Sharkawy & Sarhan. Basma’s practice focuses on project financing, structured finance, microfinance and other aspects of finance more generally. She also advises her clients on general corporate, construction and mergers & acquisitions matters. Basma has advised clients under Egyptian, French and Moroccan laws.

Prior to joining Sharkawy & Sarhan in March 2016, Basma was an intern at Orrick, Herrington & Sutcliffe Paris (France) and Clifford Chance Paris, then joined Clifford Chance’s team based in Casablanca (Morocco) as associate for one year.

Basma’s Experience

Energy

  • Advising financial institutions, including International Finance Corporation, European Bank for Reconstruction and Development, PROPARCO and other international lenders on the financing of thirty (30) Solar Power Projects under phases one and two of the Egyptian Feed-in Tariff (FiT) program. Collectively, these projects form a massive solar energy complex in Benban, Aswan, which is expected to be the world’s biggest grid-connected solar power park upon its completion, generating up to 1.8GW of clean energy. Basma had a leading role in this project, where she actively participated in the negotiations of the finance documents and the project Agreements.
  • Advising Solairedirect on implementing solar power projects under the Egyptian government’s Feed-in Tariff program and on the aspects of engineering, procurement and construction (“EPC”) works in Egypt.
  • Preparing an extensive advice on EPC and service & maintenance activities under Egyptian law for Senvion GmbH, one of the leading manufacturers for onshore and offshore wind turbines.
  • Advising a major Chinese power corporation on undertaking photovoltaic projects in Egypt. Work included preparing an extensive report on the legal framework of renewable energy in Egypt and implementing photovoltaic projects on EPC basis.
  • Providing a Chinese law firm with an overview of the legal environment for investment in Egypt with a special focus on electricity projects.
  • Advising (with Clifford Chance Tokyo and Casablanca) governmental financial institutions on the financing of a 150 MW wind project in Senegal, which included leading the negotiations with Senegalese authorities and counterparties, and assisting the lenders in drafting the finance documents.

Banking & Finance

  • Advising (with Clifford Chance Casablanca) a major Moroccan financial institution acting as arranger of a real estate receivables securitization program under Moroccan law.
  • Advising (with Clifford Chance Paris) a major French financial institution acting as arranger of several commercial receivables securitization programs under French law.
  • Advising (with Clifford Chance Paris) a French bank on the incorporation and management of a securitization company under French law.
  • Advising (with Clifford Chance Paris) a French bank on setting up a negotiable medium-term notes program through its securitization company.

Capital Markets and M&A

  • Advising Attijariwafa Bank Moroccan leading banking and financial group in Africa on the acquisition of Barclays Bank Egyptian banking business. Work included conducting comprehensive due diligence on the Egyptian bank, leading discussions with the Central Bank of Egypt and the seller, and leading the closing of the SPA.
  • Advising (with Clifford Chance Casablanca) a UK-based fund on the acquisition of a Senegalese fishing group, which included carrying out due diligence inquiries in the premises of the Senegalese mother company, coordinating with the legal local counsel and participating in drafting a comprehensive due diligence report.
  • Advising (with Clifford Chance Casablanca) a major Moroccan insurance group on the USD 60 million acquisition of another pan-African insurance group.

Regulatory / Regulations Drafting

  • Participating (with Clifford Chance Casablanca) in reforming the Moroccan derivatives legal framework and in drafting the Moroccan law no. 42-12 on derivatives market.
  • Participating (with Clifford Chance Casablanca) in drafting the amended law no. 45-12 on securities lending and borrowing and short selling.
