Capital Markets and M&A

  • Advising Adeptio AD Investments SPC Ltd., the group led by Emaar Properties PJSC Chairman Mohamed Alabbar, on its $2.36 billion acquisition of Middle East fast-food operator Kuwait Food Co. (Americana). The work included performing a full-form due diligence exercise and report on the Egyptian part of Americana Group.
  • AdvisingGeneral Electric Co. (with Slaughter and May) on the Egyptian Law aspects of its global acquisition of Alstom SA‘s power business, with an estimated value of USD 9.5 billion. Our role included performing a full-form due diligence exercise and report on Alstom SA’s power business in Egypt. In addition to undertaking the required procedures to reflect the acquisition before the EGX.
  • Advising (with Allen & Overy) Société Générale on the sale of its entire stake in its listed Egyptian Subsidiary National Société Générale Bank (“NSGB”) to Qatar National Bank.
  • Advising Société Générale (with Allen & Overy) on the sale of its entire stake in NSGB Life Insurance, Sogelease Egypt, a financial leasing company and SGAM-Egypt, an asset management company. Our role included undertaking the required procedures for the transfer of shares and obtaining the required approvals.
  • Advising DEA Deutsche Erdoel AG (formerly RWE Dea) in relation to the $ 7.1 billion sale of its global oil & gas business to L1 Energy. Our role included conducting a vendor due diligence in relation oil & gas assets of  DEA Deutsche Erdoel AG (formerly RWE Dea) in Egypt as well as responding to the various inquiries that arose throughout the course of the transaction.
  • Advising (With Allen & Overy) a major Japanese multinational on the acquisition of a leading water management and solutions company. The work included performing an extensive due diligence on the target and advising on all Egyptian law aspects of the acquisition.
  • Advising EFG Hermes on several investment funds and private insurance funds of leading Egyptian financial institutions. Our role included drafting the fund management agreements and relevant prospectuses.
  • Advising a leading private equity firm on a potential acquisition of a minority stake in a major listed financial institution.
  • Advising with (with Allen & Overy) a major investment fund on the regulatory obligations and restrictions related to equity trading in Egypt.Advising on mandatory delistings and mandatory tender offers.

Finance and Derivatives

  • Advising Bank of America National Association and a syndicate of international banks on refinancing of USD 920 million that was granted to a major group of companies in the petrochemical sector. Our work included reviewing and advising on the various finance documents from an Egyptian law perspective and negotiating the Egyptian law aspects with the relevant counter party. In addition, our role included preparing and perfecting a pledge of shares agreement before the MCDR.
  • Advising a major Egyptian financial institution on an EGP 150,000,000 loan from an Egyptian bank. Our role includes drafting and negotiating the loan agreement and perfecting the security.
  • Advising an IFI on a US$30,000,000 facility to an Egyptian investor. Our work included advising on the capacity of the Egyptian investor and the enforceability of the security package.
  • Advising the IFC on the Egyptian legal regime governing private universities and the ability of the IFC to invest by new convertible loan and equity to be provided to the university or owning company.
  • Advising (with Allen & Overy) on a project aimed at international commercial banks and investment banks to provide them with advice in relation to the entry into derivative transactions with counterparties in Egypt.
  • Advising several major financial institutions on the enforceability of derivative transactions and ISDA Master Agreements against a wide variety of counterparties in Egypt.


  • Advising a number of qualified developers and financial institutions under the Egyptian Feed-in Tariffs (FiT) program for wind and solar projects. Our work included preparing extensive legal study on the FiT program regulatory framework and implementation and assistance to developers in SPV incorporation, land availment, application for interim power generation license, Engineering, Procurement and Construction (EPC), Operation and Maintenance (O&M), and Project Management for wind and solar projects.
  • Advising a major Chinese power corporation on undertaking photovoltaic projects in Egypt. Our work included preparing an extensive report on the legal framework of renewable energy in Egypt and implementing Photovoltaic Projects on Engineering, Procurement and Construction (EPC) basis.
  • Advising a major Chinese power corporation on the nuclear regime in Egypt. Our work included preparing an extensive report on the legal framework of implementing Nuclear Power Projects on Engineering, Procurement and Construction (EPC) basis.
  • Advising Excelerate on its FSRU and LNG work in Egypt. Our work included reviewing and advising on the re-gasification service agreement from an Egyptian law perspective. In addition to advising Excelerate on public tenders with EGAS and assisting it throughout the tendering process.
  • Advising RWE on different legal issues pertaining to its concessions in Egypt.
  • Advising RWE Dea AG as its external legal counsel on all its oil and gas business in Egypt including advising on the interpretation and application of the terms of the concession agreements, advising on gas and crude oil sales agreements, and other commercial contracts related to their operations.
  • Advising Centamin Egypt on a high profile case in front of the High Administrative Court. The case relates to a concession for gold exploration and exploitation held by Pharaoh Gold Mines a subsidiary from Centamin. Centamin was appealing a judgment issued by the first-degree administrative court, which reduced the development area of the gold concession. Our role included advising Centamin Egypt on all the substantive aspects of the appeal and preparing the legal basis for challenging the judgement of the first-degree court.


  • Advising (with Freshfields) Bristol Myers Squib on the employment aspects of its $4.1 billion sale to AstraZeneca of its share in the two companies’ diabetes joint venture.
  • Advising a leading independent European specialty pharmaceutical company on conducting business in Egypt through its Egyptian subsidiaries.

General Corporate and Commercial

  • Advising various clients, including EFG Hermes, Deutsche Bank, Google, Goldman Sachs, GE, Mitsubishi Power Systems, Mitsubishi Heavy Industries, RWE, BG, Orange, WPP and DeFacto on various general commercial, corporate and labor issues.


  • LLB, Faculty of Law, English Section, Cairo University, graduated as one of the top ten students of Class 2012 with honors and qualified in 2012.
