About Heba

Heba’s practice focuses on general commercial and intellectual property. She also has experience in arbitration, general commercial and labour law issues. She joined Sharkawy & Sarhan in 2012. Prior to joining Sharkawy & Sarhan, Heba worked at Rouse & Co. International, where she advised various clients on a number of trademark issues in the MENA region. She also conducted research on various intellectual property issues in the UAE, and assisted in carrying out administrative enforcement and anti-counterfeiting services by preparing trademark infringement complaints to administrative authorities and visiting with competent authorities for follow-up, and assisted in domain name recovery for a well-known trademark in Morocco.

Between 2005 and 2006, Heba worked as a legal researcher in Egypt’s Cabinet Information and Decision Support Center (IDSC) where she assisted in assessing the regulatory and contractual framework for private sector participation in Build-Operate-Transfer (BOT) infrastructure projects in Egypt by offering advice for amending existing laws and developing model BOT agreements.

Between 2004 and 2005, Heba worked as a legal and regulatory research assistant in Telecommunications Management Group (TMG) Inc. in USA. Her work included advising TMG on copyright and trademark registration issues as well as researching telecommunications laws and public policy in a number of countries including Jordan, Bahrain, Egypt, Morocco, Cape Verde, UK, and Greece. She also advised the Jordanian Telecommunications Authority on issues relating to updating the licensing system, creating dispute resolution mechanism, and introducing and maintaining competition in the sector.

Between 2002 and 2004, Heba worked in Raslan Law Office as an associate, where she assisted in arbitration cases by conducting legal research, reviewing documents, and drafting memos. She also researched legislation for patent registration in Egypt and assisted in consultations on various constitutional and administrative matters in Kuwait and Bahrain.

Heba’s most recent work includes the following:

Capital Markets and M&A

  • Advising Nestle S.A. and Nestle Egypt S.A.E. on the acquisition of Pfizer Nutrition business including drafting of the local sale and purchase documentation, advising on the regulatory requirements, collection of CPs and undertaking the local procedures for the transfer of assets.
  • Advising (with Skadden) Shelf Drilling on the acquisition of two Egyptian drilling companies conducting the due diligence on several drilling rigs.
  • Advising a leading private equity firm on a potential acquisition of a minority stake in a listed major investment bank.
  • Advising Adeptio AD Investments SPC Ltd., the group led by Emaar Properties PJSC Chairman Mohamed Alabbar, on its $2.36 billion acquisition of Middle East fast-food operator Kuwait Food Co. (Americana). The work included performing a full-form due diligence exercise and report on the Egyptian part of Americana Group.
  • Advising General Electric Co. (with Slaughter and May) on the Egyptian Law aspects of its global acquisition of Alstom SA‘s power business, with an estimated value of USD 9.5 billion.
  • Advising a major global insurance services company on its bid to acquire an Egyptian insurance company. Her work included conducting a full due diligence on the target, advising on all regulatory aspects and negotiating the transaction documents.
  • Advising Viterra (now GlencoreInternational plc) on the sale of its entire stake in two Egyptian companies. Her work included advising on and negotiating the Egyptian law aspects of the share the transaction agreements and undertaking the transfer of shares procedures.
  • Advising Societe Générale on the sale of its entire stake in its listed Egyptian Subsidiary National Societe Générale Bank (“NSGB”) to Qatar National Bank. The value of the transaction amounted to USD 1.97 billion. Her role included advising on and negotiating the Egyptian law aspects of the share and purchase agreement, conducting vendor due diligence and supervising the legal due diligence process, and advising on the mandatory purchase offer requirements under the Capital Market Law.
  • Advising a multinational company on the sale of its entire stake in an Egyptian port terminal operating company.
  • Advising CFAO on the sale of its entire stake in an Egyptian company.

Oil & Gas

  • Advising DEA Deutsche Erdoel AG as its external legal counsel on its oil and gas business in Egypt including advising on several legal matters pertaining to the operating companies under its concessions and on gas sales agreements.

Competition/Antitrust

  • Advising several high profile multinational companies on competition related aspects under Egyptian Competition Law.

Insurance

  • Advising several multinational insurance companies on several aspects of the Egyptian insurance law including providing insurance and reinsurance services, registration with EFSA for non-Egyptian re-insurers and captive insurance.

General Corporate and Commercial

  • Advising CFAO on the transfer of shares and establishment of new business.
  • Advising TUI on several general corporate matters.
  • Advising Monstanto, an American multinational working in the field of agricultural biotechnology, on the standard global label of its products packages under Egyptian law.

Pharmaceuticals

  • Advising Amgen, an American multinational biopharmaceutical company, on the establishment of a rep office in Egypt.

Banking & Finance

  • Advising (with Skadden) Shelf Drilling, on obtaining $600 Million facilities, advising on securities package and issuing a capacity opinion.

Employment      

  • Advising Nestle on several employment matters including outsourcing employees and employees’ pension funds.
  • Advising a number of multinational companies on general corporate law issues including Orange, Showtime, John Crane and Dubai Ports World.

Dispute Settlement and Arbitration

  • Advising and representing (with the litigation team) a multinational oil & gas company in a property related dispute.
  • Advising and successfully representing (with Allen & Overy) six foreign exporters of polypropylene (“PP”) in the safeguard investigations on PP imports to Egypt after the Egyptian authority has imposed provisional safeguard duties until completing its investigations. This was the first time the investigating authority issues a detailed report recommending the termination of a trade remedy investigation without the imposition of any definitive measures.
  • Advising and representing (with the litigation team) a multinational company in a dispute regarding fraud misdemeanor.
