About Mohamed

Mohamed Abdel Gawad is a Partner at Sharkawy & Sarhan Law Firm. He joined the firm in August 2016. He is also a Teaching Assistant at the Criminal Law Department of the Cairo University, Faculty of Law. Mohamed has nine years of experience in the provision of legal services in the Egyptian market. He leads the commercial non-transactional legal services in the firm with a focus on healthcare sector. He advises multi-national and national companies such as Amgen, Clariant, Al Abbar Enterprises, OSI Rapiscan, KUFPEC, Jotun, LC Waikiki and Azadea.

M&A

  • Representation of Valeant Pharmaceuticals in connection with the acquisition of Amoun Pharmaceutical S.A.E. The instructions included transaction structuring, legal due diligence and drafting the transaction documentation. Transaction value: USD 800 Million plus deferred payment (Signed July 2015).
  • Representation of Novartis as the local Egyptian counsel on the acquisition of its OTC business by GSK, joint venture between the two companies to develop the Vaccines business and sale of marketing rights in respect of Oncology business by GSK to Novartis (Closed in March 2015).
  • Representation of Eli Lilly Egypt S.A.E in the sale of its pharmaceutical manufacturing facility located at the Sixth of October City to Medical Union Pharmaceuticals as well as advising Eli Lilly and Company on the transfer of pharmaceutical products registration in Egypt and Egyptian law aspects of concluding a long-term supply agreement of active ingredients to the purchaser of the manufacturing facility. Transaction Value: USD 9,290,000 for the sale of the manufacturing facility and related parts and materials and 290,000,000 represent the minimum purchases under the long-term supply agreement. (Closed June 2015).
  • Representation of Pfizer on all Egypt legal aspects of its comprehensive restructuring of its Animal Health Business as well as the recent divestment of its Nutrition business. Global Nutrition Business Transaction Value: USD 11.9 billion.
  • Representation of Bristol Myers Squibb (“BMS”) in connection with managing and handling the process of selling the assets of BMS in Egypt (around USD 330 million).

General Corporate and Commercial

  • Representation of Rapiscan Systems, Amgen, Jotun, Al Abbar Enterprises, KUFPEC, Syngenta, TUI, Pfizer, Zoetis, Eli Lilly, Karm Solar Group, Pixelogic Egypt and the Saudi Egyptian Touristic Development Company in providing day-to-day commercial law advice (including reviewing distributions agreements, sales agreement, services agreement, joint venture agreements and agency agreements).
  • Representation of Eli Lilly on Egyptian regulatory framework in light of Egyptian Ministry of Health regulations including the recent drug pricing ministerial decree.
  • Advising a pharmaceutical company in respect of anti-competition acts by a competing pharmaceutical company involving illegal discounts on pharmaceutical products.
  • Advising several pharmaceutical companies in respect of the registration, re-registration and transfer of pharmaceutical products and medical devices as well as their marketing, promotion and sales policies;
  • Representation of Louis Vuitton in connection with locating and launching legal actions against the stores and the factories selling and/or manufacturing counterfeit LV products.

Employment

  • Representation of Amazon, Aggreko, Aimia, Al Abbar Enterprises, Cargill, Syngenta, Azadea, LC Waikiki, Amgen,Bloomberg, Google, KUFPEC, Rapiscan, Pixelogic and TUI on various labor and employment matters, drafting and reviewing company’s internal work regulations and policies, drafting the legal documents of laying-off a number of employees, and providing general legal assistance on several employment disputes and problems (i.e. employees’ strikes, investigations).
