About Mohamed

Mohamed Started his career as a junior associate with Sharkawy & Sarhan, before that he graduated from the Cairo University’s Law, School – English Section – with distinguished honors as one of the top ten students of his class. He was seconded to Allen & Overy Dubai for a period of four months during 2014.

Mohamed’s Practice focuses on capital market, M&A and finance. Mohamed is leading Sharkawy & Sarhan’s prolific power and energy practice and described as one of the “Rising Stars” for Egypt in IFLR, 2013 and 2016 editions.

Mohamed’s most recent work includes the following:

Capital Markets and M&A

  • Advising Attijariwafa Bank Moroccan leading banking and financial group in Africa on the acquisition of Barclays Bank Egyptian banking business. His work included conducting comprehensive due diligence on the Egyptian bank and advising on the SPA and escrow arrangements.
  • Advising a major fund on its entry into and execution of a Cornerstone Investment Agreement with respect to the international offering tranche of shares of Arabian Food Industries Company Domty S.A.E. in the Egyptian Stock Exchange.
  • Advising EFG Hermes Holding and its assets management and stock-brokerage arms on a wide variety of capital market issues relating to assets management, custody and stock-brokerage activities including:
    • Advising on compliance aspects of performing assets management and stock-brokerage activities;
    • Advising on fund management agreements and prospectuses for several investment funds, private insurance funds for leading Egyptian financial institutions
    • Drafting and negotiating portfolio management, fund management and stock-brokerage agreements;
    • Advising compliance issues pertaining to IPOs; and
    • Advising and drafting standard business agreements for various regional activities of the group.
  • Advising Goldman Sachs on potential investment structuring involving treasury shares of an EGX listed company.
  • Advising FAIRFAX on its acquisition of minority stake in Commercial International Bank from Actis.
  • Advising (with Allen & Overy) BNP Paribas S.A. on the SPA and escrow arrangement for the sale of all its shares in its Egyptian subsidiary, Bank BNP Paribas S.A.E., to Emirates NBD PJSC.
  • Advising EFG Hermes on several mutual funds and money market funds of leading Egyptian financial institutions, including the draft of the fund management agreements and relevant prospectuses.
  • Advising (with Allen & Overy) Standard Chartered Bank on all matters related to a potential acquisition of an Egyptian bank including undertaking a legal due diligence, advising on mandatory purchase offer requirements, preparing all documentation required for obtaining the approval of the Central Bank of Egypt and Egyptian Financial Supervision Authority and liaising with various regulators.
  • Advising UBS and Credit Suisse on a rights’ issue on the Swiss Stock Exchange involving Egyptian depository certificates. This was the first rights’ issue for Egyptian depository certificates in the Egyptian market.

 Oil & Gas

  • Advising and conducting a comprehensive due diligence on the gold concession granted to Pharaoh Gold Mines (a subsidiary of Centamin Egypt Limited) in Egypt for the purpose of the latter’s admission to be listed in the Official List of the Financial Services Authority and admission to trading on the London Stock Exchange. The gold concession granted to Pharaoh Gold Mines is the first significant gold concession to be granted in Egypt.
  • Advising (with Herbert Smith) Sumitomo Mitsui Banking Corporation on USD 100,000,000 financing provided by a number of lenders to an oil and gas company having an oil and gas concession in Egypt. Our work included conducting a full due diligence on the concessions and preparing the Egyptian law security package.
  • Advising (with Allen & Overy) BNP Paribas on a USD 30,000,000 financing for an oil and gas company having an oil and gas concession in Egypt. Our work included conducting a full due diligence on the concessions and preparing the Egyptian law security package.
  • Advising (with Herbert Smith) Perenco Petroleum Limited having a concession in Egypt on the Egyptian aspects of borrowing approximately USD 2,750,000,000 from a number of international banks. Our work included conducting a full due diligence on the concessions and preparing the Egyptian law security package.

Banking & Finance

  • Advising development financial institutions, including EBRD, IFC, Proparco, CDC, AfDB and Islamic Development Bank on financing the Egyptian Feed-in Tariffs program for solar projects. Our work included preparing extensive legal study on the FiT regulatory framework and implementation and advising the DFIs on the security package and negotiating the project agreements with EETC, NREA and the Ministry of Electricity.
  • Advising EFG on a EGP 150 million load from Audi Bank.
  • Advising international payment services provider on Egyptian law licensing requirements for e-money in Egypt.
  • Advising (with Allen & Overy) on a syndicate of Egyptian and international banks on a USD 2.5 billion refinancing for Orascom Telecom Holding.
  • Advising Natixis on purchasing USD 230 million secured equity-linked bonds issued by an offshore subsidiary and guaranteed by a major Egyptian telecom company.
  • Advising (with Allen & Overy) Standard Chartered Bank on a financing transaction for the Orascom Telecom group.
  • Advising IFC on a number of financing transactions, including conducting due diligence, preparation and perfection of security packages and advising on Egyptian law issues pertaining capacity and enforcement.

Power & Renewables

  • Advising development financial institutions, including EBRD, IFC, Proparco, CDC, AfDB, UKEF and Islamic Development Bank on financing the Egyptian Feed-in Tariffs program for solar projects. Our work included preparing extensive legal study on the FiT regulatory framework and implementation and advising the DFIs on the security package and negotiating the project agreements with EETC, NREA and the Ministry of Electricity.
  • Advising a number of qualified developers under the Egyptian Feed-in Tariffs program for solar and wind projects. Our included preparing extensive legal study on the FiT regulatory framework and implementation and advising the developers on SPV incorporation, land availment, application for interim power generation license and issuing project security bonds to the government.
  • Advising CGN on the Egyptian law aspects of its acquisition of the energy assets of 1Malaysia Development Berhad, including conducting comprehensive due diligence on Egyptian energy assets and advising on Egyptian aspects on the transaction. The transaction involved extensive due diligence exercise on the only three IPPs in the Egyptian market.
  • Preparing comprehensive report for a major CNNC China Zhongyuan Engineering Corporation on the legal framework of implementing nuclear power projects on Engineering, Procurement and Contracting (EPC) basis.
