About Reham

Reham Eissa has a Master’s Degree in Administrative Sciences, Faculty of Law, Ain Shams University and a LLB, Faculty of Law, English Section, Ain Shams University, and qualified in 2012, She joined Sharkawy & Sarhan in 2012.

Banking and Finance

  • Advising (with White & Case) State bank of India with a syndicate of Indian banks on extension of financing of TCI Sanmar Chemicals.
  • Advising EBRD on some Egyptian law aspects.
  • Advising IFC on some Egyptian law aspects.
  • Advising Bank of America National Association on the general regime of offshore lending to Egypt.

Capital Markets and M&A

  • Advising (with Allen & Overy) BNP Paribas S.A. on the sale of all its shares in its Egyptian subsidiary, Bank BNP Paribas S.A.E., to Emirates NBD PJSC and advising BNP Paribas on selling its stake in another non-bank subsidiary in Egypt.
  • Advising (with White & Case) State bank of India with a syndicate of Indian banks on extension of financing of TCI Sanmar Chemicals.
  • Advising EBRD on some Egyptian law aspects.
  • Advising IFC on some Egyptian law aspects.
  • Advising Bank of America National Association on the general regime of offshore lending to Egypt.
  • Advising IFC in relation to its equity investment in Sphinx Glass Ltd, a BVI entity that fully owns Egypt-based float glass manufacturer Sphinx Glass S.A.E. Ahmed’s role included:
  • Conducting a full due diligence exercise on Sphinx Glass S.A.E. and advising IFC on the various Egyptian legal issues pertaining their investment. Hogan Lovells acted as international counsel to IFC.
  • Advising Toshiba on its offshore demerger to conduct group restructuring, in relation to reflecting the demerger in Egypt.
  • Advising Magrabi on their group restructuring and establishing a new entity in Egypt.

Oil & Gas

  • Advising RWE on different legal issues pertaining to its concessions in Egypt.
  • Advising a major private equity firm on the legal rules pertaining to licenses for maritime activities in territorial waters.
  • Advising a major oil and gas company on the legal requirements for keeping a foreign vessel to operate in territorial water.
  • Advising an oil and gas client on undertaking phase one of the share acquisition.
  • Advising (with Herbert Smith) Sumitomo Mitsui Banking Corporation on a US$ 100 Million financing provided by a number of lenders to an oil & gas company having an oil & gas concession in Egypt and conducting a full due diligence on the concessions and preparing the Egyptian law security package.

Dispute Settlement and Arbitration

  • Advising (with the litigation team) a major manufacturing company on employment law disputes.

Employment

  • Advising several clients including George Asda, Orange, CSC, Logica, Dupont du Nemours, and Bloomberg on the different aspects of the Egyptian labour law.
  • Advising several clients including George Asda, Orange, CSC, Logica, Dupont du Nemours, Mednet Egypt, Airliquide, Amazon, Lesaffre Egypt and Bloomberg on the different aspects of the Egyptian labour law.
  • Advising clients on numerous aspects of labour and social insurance laws & regulations.
  • Advising, drafting and negotiating employment contracts and the termination thereof.

General Corporate and Commercial

  • Advising several clients including Orange, Cash-U, Motorola Solutions, DB, Monstanto, Boeing, and Viterra on general corporate and commercial law issues.
  • Advising a multinational corporation on the Egyptian law aspects regarding data protection in Egypt.
  • Advising Expedia on establishing a booking website.
  • Advising Mitsubishi Heavy Industries (MHI) on entering the Egyptian market and Incorporation.
  • Advising various clients, including Mednet Egypt, Airliquide, amazon, Lesaffre Egypt, Deutsche Bank, RWE (DEA), BG and Magrabi on various general commercial, corporate and labor issues.
