Capital Markets and M&A

  • Advising Adeptio AD Investments SPC Ltd., the group led by Emaar Properties PJSC Chairman Mohamed Alabbar, on its $2.36 billion acquisition of Middle East fast-food operator Kuwait Food Co. (Americana). The work included performing a full-form due diligence exercise and report on the Egyptian part of Americana Group, advising from an Egyptian law perspective on the acquisition, and assisting with acquisition structuring and acquisition finance structuring.
  • Advising (with Freshfields) Bristol Myers Squib on the employment aspects of its $4.1 billion sale to AstraZeneca of its share in the two companies’ diabetes joint venture.
  • Advising (with Allen & Overy) a major Japanese multinational on the acquisition of a leading water management and solutions company. The work included performing an extensive due diligence on the target and advising on all Egyptian law aspects of the acquisition.
  • Advising (with Latham & Watkins LLP) Takween Advanced Industries on the Egyptian aspects of its USD 242 million acquisition of Savola Packaging. The work involved performing due diligence on the target’s Egyptian subsidiary, advising on the sale and purchase agreement, and performing the post-acquisition restructuring.
  • Advising (with Shearman & Sterling LLP) Takween Advanced Industries on the Egyptian aspects of Takween’s rights issue to increase its capital to become SAR 950 million (around USD 253 million). The work included performing an extensive due diligence on the Egyptian subsidiary of Takween Advanced Industries to be submitted to the Saudi Capital Markets Authority.
  • Advising an IFI on the current legal and regulatory regime in Egypt of the local debt capital markets activity including t-bills and government bonds. The work included meeting various regulators and relevant market players, completing a comprehensive questionnaire on debt capital markets and sukuk in Egypt, and assisting in preparing a report based on the responses to the questionnaire.
  • Acting as Egyptian counsel in connection with the preparation of a prospectus for the admission of additional EFG GDRs to trading on the London Stock Exchange.
  • Advising (with Allen & Overy) on a project aimed at international commercial banks and investment banks to provide them with advice in relation to the Egyptian shareholder disclosure regime and marketing of foreign securities in Egypt.
  • Advising a leading private equity firm on a potential acquisition of a minority stake in a listed major investment bank.
  • Advising a number of international financial institutions on the marketing of foreign securities in Egypt.
  • Advising on a wide range of capital market issues.

Energy

  • Advising Shell on the Egyptian aspects of restructuring of its downstream business in Africa. The work included advising Shell on the spin-off of its lubricants business in Egypt and the sale of the downstream business to Total.
  • Advising Australian Oil & Gas exploration and production company Beach Energy Limited on its sale of its wholly owned subsidiary, Beach Petroleum (Egypt) Pty Ltd whose core asset is a 22% interest in the Abu Sennan Concession in Egypt, to Rockhopper Exploration PLC in August 2015.
  • Preparing several extensive reports on the feed-in tariff program for renewable energy in Egypt to Grupo COBRA, Solairedirect, and a leading regional clean energy firm. The reports included analysis of the feed-in tariff program, a map of actions and permits required to ensure the project is successful, and a comprehensive summary of the application process.
  • Advising an IFI, HSBC Bank plc and HSBC Bank Egypt in connection with a USD 100,000,000 Senior Secured Borrowing Base Facility to IPR group of companies which holds various oil and gas concessions in Egypt. Our work included conducting a full due diligence on the concessions held by the borrowers, preparing the Egyptian law security package and reviewing the English law finance document to ensure their enforceability under Egyptian law.
  • Advising RWE Dea AG as its external legal counsel on its oil and gas business in Egypt including advising on all its concession agreements and oil and gas sales agreements.

Derivatives

  • Advising (with Allen & Overy) on a project aimed at international commercial banks and investment banks to provide them with advice in relation to the entry into derivative transactions with counterparties in Egypt.
  • Advising numerous leading international financial institutions including Morgan Stanley, UBS, Deutsche Bank, Credit Suisse and Barclays Capital on the enforceability of the ISDA Master Agreement, the English Credit Support Annex and the New York Credit Support Annex and on the capacity and authority of Egyptian counter parties to enter into such agreements.

Banking and Finance

  • Advising EBRD on a USD 50 million loan to an Egyptian bank to support small and medium sized enterprises (SME’s) in Egypt. The proceeds of the EBRD’s loan will be on-lent to private SMEs, contributing to increase available funding to this vital sector.
  • Advising an IFI on a transaction with an Egyptian state bank.

Concessions, PPPs and Public Tenders

  • Advising Rapiscan, the world’s leading security screening provider and manufacturer of X-ray scanning devices on its USD 80mn contract with the Egyptian Customs Authority for the provision, installation, and maintenance of X-ray scanning devices to be installed at all customs sites in Egypt. The work included advising on the tender process, negotiating and drafting the contract, advising on its implementation, and incorporation of the local entity.
  • Advising (with Pinsent Masons) the European Investment Bank on an in-depth study of the legal, regulatory and institutional frameworks affecting the implementation of Public Private Partnerships (PPPs) in Egypt, including advising the client on obtaining the relevant licenses from the different ministries.
  • Advising Etisalat Egypt on its potential bid for a license from the National Telecom Regulatory Authority to provide triple play services to closed compounds in Egypt. The work included preparing a study of the regulatory framework in Egypt concerning triple play specifically as well as telecommunication services in general.  The Work also included advising the client on obtaining the relevant licenses from the different ministries.

Pharmaceuticals

  • Advising (with Freshfields) Bristol Myers Squib on the employment aspects of its $4.1 billion sale to AstraZeneca of its share in the two companies’ diabetes joint venture.
  • Advising Amgen on the framework of marketing authorizations for pharmaceutical products in Egypt in terms of the applicant for such authorization, the legal and regulatory mechanism of obtaining or holding the marketing authorization in Egypt, and the legal and regulatory mechanism of importing pharmaceutical products into Egypt.
  • Advising a leading independent European specialty pharmaceutical company on conducting business in Egypt through its Egyptian subsidiaries.

Dispute Settlement and Arbitration

  • Advising and successfully representing (with Allen & Overy) six foreign exporters of polypropylene (PP) in the safeguard investigations on PP imports to Egypt after the Egyptian authority has imposed provisional safeguard duties until completing its investigations. This was the first time the investigating authority issues a detailed report recommending the termination of a trade remedy investigation without the imposition of any definitive measures.
  • Advising and representing a major international company operating port terminals in an ICC construction arbitration against one of its contractors.
  • Advising and representing an oil drilling company (joint venture between an international drilling company and the Egyptian government) in a number of arbitration cases against oil companies.

Employment

  • Advising and representing several multinational companies in their collective negotiations with their employees. The subjects of negotiations varied from work conditions to guarantees in relation to acquisitions or split offs.
  • Advising clients on numerous aspects of labour and social insurance laws and regulations.
  • Advising, drafting and negotiating employment contracts and the termination thereof.

General Corporate and Commercial 

  • Advising (with Gide Loyrette Nouel) Navisat on the creation of a new satellite-based air traffic management services system for the Middle East and Africa.
  • Advising a major international commercial bank on the provision of electronic-signature services to its customers in Egypt.
  • Advising various clients, including GE, Showtime, John Crane, Egyptian Drilling Company (a subsidiary of Maersk), Motorola Solutions, and Deutsche Bank on various general corporate, insurance, and labour issues.

  • “Egypt’s Feed-In Tariff Program: Ready, Set…”: Co-authored with Chadbourne and Parke a report on Egypt’s Feed-In-Tariffs for renewable energy projects. (Chadbourne & Parke, 2015)
  • “Legal Risk Management for Japanese Investors”: authored a report on risk management under Egyptian Law, the publication was intended for Japanese investors interested in the Egyptian Market. (Nishimura & Asahi, 2014)
  • ‘’Document Retention: An International Review’’: Co-authored the Egypt chapter of the 2nd edition of Herbert Smith Freehils’s popular guide ‘Document Retention: An International Review’, which provides guidance on key document retention obligations and data management issues in 28 jurisdictions worldwide. (Herbert Smith Freehils, 2013).
  • ‘’Developing Local Capital Markets in the Southern and Eastern Mediterranean Region’’: Co-authored the section on Egypt in the article ‘’Developing Local Capital Markets in the Southern and Eastern Mediterranean Region’’ (EBRD Journal Law in Transition, Spring 2013).
  • ‘’Global Data Privacy Directory’’: Authored the section on Egypt in Norton Rose’s guide for clients on data privacy laws around the world, which includes an overview of the relevant laws (if any) in each jurisdiction, the type of data that is protected and whether there are restrictions on offshore transfers. (Norton Rose, 2012).
