Ahmed’s practice focuses on general corporate, project financing and M&A. He joined the firm in 2007. Ahmed was seconded to Clifford Chance Dubai for a period of six months during 2011. His experience includes:

Capital Market and M&A

  • Advising several multinational companies in a relation to a propose structure that contemplates the purchase of local shares in EGP, converting them into GDRs and selling the GDRs in the London Stock Exchange. Ahmed’s role was to examine this structure in light of the applicable Egyptian laws and regulations and highlighting any potential risks with this structure. We also represented one of our clients in relation to the negotiation of the structure with the relevant brokerage company.
  • Acting as Egyptian counsel and providing Egyptian legal services to Alabbar Enterprises LLC, in connection with its bid for Americana Group, the Kuwaiti listed food and restaurants business.
  • Advising Atlas Holdings LLC on the process of the Egyptian assets transfer as part of the global acquisition.Advising IFC in relation to its equity investment in Sphinx Glass Ltd, a BVI entity that fully owns Egypt-based float glass manufacturer Sphinx Glass S.A.E. Ahmed’s role included conducting a full due diligence exercise on Sphinx Glass S.A.E. and advising IFC on the various Egyptian legal issues pertaining their investment. (Hogan Lovells)acted as international counsel to IFC.
  • Advising with (with Allen & Overy LLP) Mitsubishi on its offshore merger, reviewing the structure of the merger from an Egyptian law perspective, advising on its effect on the Egyptian subsidiary and undertaking the required procedures to reflect the merger in Egypt.
  • Advising BNP Paribas S.A. on the legal due diligence related to the sale of all its shares in its Egyptian subsidiary, Bank BNP Paribas S.A.E., to Emirates NBD PJSC and advising BNP Paribas on selling its stake in another non-bank subsidiary in Egypt.
  • Advising (with Allen & Overy) Shell on the Egyptian aspects of restructuring of its downstream business in Africa.
  • Advising a major regional private equity house in relation to its USD 35 million real estate acquisition.
  • Advising a major regional private equity house in relation to a potential significant real estate acquisition.
  • Advising (including conducting a comprehensive due diligence) a major regional private equity house in relation to a proposed acquisition of a leading Egyptian dairy company.
  • Advising (including conducting a comprehensive due diligence) a major gulf telecommunication company on its acquisition of a fiber pair in a submarine telecommunication cable owned by a major Egyptian telecommunication company. This deal is considered to be the first of its kind in Egypt.
  • Advising (with Allen & Overy) on two projects aimed at international commercial banks and investment banks to provide them with advice in relation to the Egyptian shareholder disclosure regime and on the entry into derivative transactions with counter-parties in Egypt.
  • Advising Maersk on the GDR Structure.

Oil & Gas   

  • Advising (with Herbert Smith) HSBC Bank plc and HSBC Bank Egypt (as Mandated Lead Arrangers) in connection with an up to USD 50,000,000 Senior Secured Borrowing Base Facility to IPR group of companies which holds various oil & gas concessions in Egypt. Our work included conducting a full due diligence on the concessions and preparing the Egyptian law security package.
  • Advising RWE Dea AG as its external legal counsel on its oil and gas business in Egypt including advising on its concession agreements and oil and gas sales agreements.
  • Advising and conducting a comprehensive due diligence on the gold concession granted to Pharaoh Gold Mines (a subsidiary of Centamin Egypt Limited) in Egypt for the purpose of the latter’s admission to be listed in the Official List of the Financial Services Authority and admission to trading on the London Stock Exchange. The gold concession granted to Pharaoh Gold Mines is the first significant gold concession to be granted in Egypt.

Banking & Finance

  • Advising (with White & Case) BNP Paribas France as the lead arranger on the USD 280 million financing to Suez Steel Company.
  • Advising Etisalat in relation to an EGP 4.7 billion term loan facility agreement.
  • Advising (with White & Case) a syndicate of Indian banks on extension of financing of TCI Sanmar Chemicals.
  • Advising IFC in relation to their USD 15 million financing to a major industrial group.
  • Advising (with Allen & Overy) a major bank in relation to its accession to a number of syndicated loans granted to several major companies in Egypt.


  • Advising clients on numerous aspects of labour and social insurance laws & regulations.
  • Advising, drafting and negotiating employment contracts and the termination thereof.

General Corporate and Commercial

  • Advising a number of multinational companies on general corporate law issues including Orange, Showtime, John Crane and Dubai Ports World.
